Applies To: All paid and trial subscribers to GDP-50-NOW

IMPORTANT – PLEASE READ CAREFULLY

By subscribing to, accessing, downloading, or using any content, data, report, or service provided by GDP-50-NOW (the “Service”), you (“Subscriber”) agree to be legally bound by these Terms and Conditions (this “Agreement”). If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these terms, do not access or use the Service.

This Agreement constitutes the entire agreement between GDP-50-NOW and the Subscriber regarding the subject matter herein and supersedes all prior or contemporaneous understandings.

1. Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below:

  • “GDP-50-NOW” means the proprietary state-level GDP nowcasting service, including all associated dashboards, reports, data feeds, forecasts, methodologies, and related materials.
  • “Content” means all data, forecasts, nowcasts, models, dashboards, graphics, written analysis, indices, estimates, methodologies, algorithms, software, and any other materials made available through the Service.
  • “Subscriber” means any individual, company, institution, or legal entity that has purchased a subscription to or otherwise accesses the Service.
  • “Authorized User” means an individual employee or contractor of Subscriber who is licensed to access the Service under the applicable subscription tier.
  • “Nowcast” means a real-time estimate of current or near-term economic output derived from GDP-50-NOW’s proprietary modeling methodology.
  • “Internal Business Purposes” means use of the Content solely within the Subscriber’s organization for decision-making, research, reporting, or analysis, excluding any client-facing, commercial, or resale use.

2. Copyright and Proprietary Rights

All Content provided through GDP-50-NOW is the exclusive intellectual property of GDP-50-NOW and its principals. All Content is protected under the United States Copyright Act (17 U.S.C. § 101 et seq.), applicable state laws, and international intellectual property treaties, including the Berne Convention.

Unauthorized reproduction, distribution, or commercial exploitation of any Content, in whole or in part, is strictly prohibited and may subject the offending party to civil and criminal liability under applicable law.

All rights not expressly granted to the Subscriber under this Agreement are reserved exclusively by GDP-50-NOW.

3. Limited License – Subscriber Use Only

Subject to the Subscriber’s timely payment of all applicable subscription fees and full compliance with this Agreement, GDP-50-NOW grants Subscriber a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for Subscriber’s Internal Business Purposes during the active subscription term.

The Subscriber expressly acknowledges and agrees that the Content:

  • May not be copied, reproduced, republished, uploaded, posted, transmitted, distributed, sold, licensed, or commercially exploited in any form or by any means.
  • May not be shared, disclosed, or distributed outside the Subscriber’s organization or to any non-Authorized Users, whether by email, print, digital file, screenshot, presentation, or any other medium.
  • May not be posted or made available on any public or private website, portal, shared drive, extranet, social media platform, or any system accessible to persons who are not Authorized Users.
  • May not be incorporated into any client-facing report, pitch, publication, or external communication unless separately and expressly licensed in writing by GDP-50-NOW.
  • May not be used to create derivative works, commercial products, or competing services of any kind.

Institutional and multi-user subscriptions must accurately reflect the number of Authorized Users. Access by users beyond the licensed count requires execution of a separate written agreement and payment of applicable additional fees.

Any unauthorized access, use, redistribution, or disclosure constitutes a material breach of this Agreement and may result in immediate termination of access, pursuit of financial damages, and initiation of legal proceedings.

4. Prohibited Uses and Restrictions

In addition to the restrictions set forth in Section 3, Subscriber shall not, and shall ensure that Authorized Users do not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive or reconstruct the source code, methodology, algorithms, or models underlying the GDP-50-NOW Service.
  • Embed or incorporate any Content into third-party databases, data warehouses, or aggregated data products.
  • Use the Content to train, fine-tune, test, or otherwise develop artificial intelligence models, machine learning systems, large language models, or any automated analytical systems.
  • Resell, sublicense, or otherwise transfer access to or use of the Content to any third party.
  • Redistribute or share Content with clients, customers, investors, or any external parties without separate written authorization from GDP-50-NOW.
  • Use the Content in any manner that infringes the intellectual property rights of GDP-50-NOW or any third party.
  • Use the Content for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation

Written permission from GDP-50-NOW is required for any citation or reference to the Content beyond brief factual excerpts in accordance with applicable fair use principles.

5. Subscription Fees, Billing, and Renewal

Access to the GDP-50-NOW Service requires payment of the applicable subscription fee as set forth in the Subscriber’s order form, invoice, or subscription confirmation. All fees are due in advance and are non-refundable except as expressly stated herein or required by applicable law.

Subscriptions are available on a per-state basis or as multi-state packages. Pricing for each configuration is provided in the applicable order documentation.

Unless Subscriber provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current subscription term, subscriptions will automatically renew for successive terms of equal duration at the then-current subscription rate. GDP-50-NOW reserves the right to modify pricing upon at least thirty (30) days’ prior written notice to the Subscriber.

Failure to timely pay subscription fees shall result in suspension of access. GDP-50-NOW reserves the right to charge interest on overdue amounts at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower.

6. No Investment, Legal, Financial, or Regulatory Advice

The Content is provided for informational and educational purposes only. Nothing in the Content, Service, or any communication from GDP-50-NOW constitutes or should be construed as:

  • Investment advice or a recommendation to buy, sell, or hold any security, asset, or financial instrument.
  • Legal advice or a legal opinion on any matter.
  • Tax, accounting, or financial planning advice.
  • Credit analysis or credit risk assessment.
  • Regulatory guidance or compliance advice.
  • Portfolio management, fiduciary, or advisory services of any kind.

Subscribers are solely responsible for all financial, credit, investment, lending, real estate, and business decisions made in connection with or in reliance upon the Content. Use of the Content does not create an advisory, fiduciary, broker-dealer, or client relationship between GDP-50-NOW and the Subscriber or any third party.

Subscribers are strongly encouraged to consult qualified legal, financial, tax, and economic professionals before making decisions based on any economic data or forecast.

7. Model Risk and Economic Forecast Disclosure

GDP-50-NOW provides modeled, estimated, and nowcasted economic data derived from a proprietary methodology. Subscribers acknowledge and accept that:

  • Nowcast estimates are subject to revision at any time and without prior notice as new data becomes available or as model inputs are updated.
  • GDP-50-NOW estimates may differ materially from official government statistical releases, including those published by the U.S. Bureau of Economic Analysis (BEA), the U.S. Bureau of Labor Statistics (BLS), state agencies, or other authoritative sources.
  • Economic modeling inherently involves uncertainty, estimation error, and the use of assumptions that may prove incorrect.
  • Past accuracy of modeled estimates does not guarantee future accuracy or performance.
  • GDP-50-NOW may update or revise its underlying methodology, data sources, or modeling framework at any time, which may result in changes to historical or forward-looking estimates.

All reliance on GDP-50-NOW Content is at the Subscriber’s sole risk. GDP-50-NOW shall bear no responsibility for any loss, damage, or adverse outcome resulting from such reliance.

8. Disclaimer of Warranties

THE CONTENT AND SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GDP-50-NOW EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF THE CONTENT.
  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
  • WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
  • WARRANTIES THAT ACCESS TO THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

No oral or written communication from GDP-50-NOW or its representatives shall create any warranty not expressly set forth in this Agreement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GDP-50-NOW, ITS OWNERS, OFFICERS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY:

  • DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS.
  • DAMAGES ARISING FROM RELIANCE ON INACCURATE, INCOMPLETE, OR REVISED ESTIMATES OR FORECASTS.
  • DAMAGES ARISING FROM INTERRUPTION, DELAY, OR INABILITY TO ACCESS THE SERVICE.

IN ANY EVENT, GDP-50-NOW’S TOTAL CUMULATIVE LIABILITY TO SUBSCRIBER, REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM, SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY SUBSCRIBER TO GDP-50-NOW DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE LIMITATIONS ABOVE SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnification

Subscriber agrees to indemnify, defend, and hold harmless GDP-50-NOW and its owners, officers, employees, affiliates, agents, licensors, and contractors (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Subscriber’s use or misuse of the Content or Service.
  • Subscriber’s violation of any provision of this Agreement.
  • Subscriber’s violation of any applicable law or regulation.
  • Any claim by a third party arising from Subscriber’s unauthorized disclosure, redistribution, or use of the Content.

GDP-50-NOW reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by Subscriber, in which event Subscriber shall cooperate with GDP-50-NOW in asserting any available defenses.

11. Term and Termination

This Agreement is effective as of the date Subscriber first accesses or uses the Service and shall continue for the duration of the applicable subscription term, unless earlier terminated in accordance with this Section.

GDP-50-NOW may immediately suspend or terminate Subscriber’s access to the Service, without prior notice or refund obligation, upon the occurrence of any of the following:

  • Subscriber’s material breach of any provision of this Agreement, including unauthorized sharing, redistribution, or use of the Content.
  • Subscriber’s failure to pay any subscription fee when due.
  • Subscriber’s insolvency, bankruptcy, or assignment for the benefit of creditors.
  • Any use of the Service that GDP-50-NOW reasonably determines poses a legal, reputational, or operational risk.

Subscriber may terminate this Agreement by providing thirty (30) days’ prior written notice to GDP-50-NOW, subject to payment of all fees due through the end of the then-current subscription term. No refunds shall be provided for early termination unless otherwise required by law.

Upon termination or expiration of this Agreement, all licenses granted hereunder shall immediately cease, and Subscriber shall promptly destroy or return all Content in its possession or control. Sections 2, 4, 6, 7, 8, 9, 10, 14, and 15 shall survive termination of this Agreement.

12. Audit Rights

GDP-50-NOW reserves the right, upon reasonable prior written notice of no less than five (5) business days, to audit Subscriber’s use of the Service to verify compliance with the terms of this Agreement. Such audits may be conducted by GDP-50-NOW or by a mutually agreed-upon independent third party, no more than once per calendar year absent reasonable cause to believe a violation has occurred.

Subscriber agrees to cooperate fully with any such audit and to provide GDP-50-NOW with reasonable access to relevant records, systems, and personnel. If an audit reveals material non-compliance, Subscriber shall promptly cure such non-compliance and shall reimburse GDP-50-NOW for the reasonable costs of the audit.

13. Confidentiality

Subscriber acknowledges that the Content, including all methodologies, models, algorithms, forecasts, and data underlying the GDP-50-NOW Service, constitutes confidential and proprietary information of GDP-50-NOW (“Confidential Information”). Subscriber agrees to:

  • Hold all Confidential Information in strict confidence using at least the same degree of care Subscriber uses to protect its own confidential information, but in no event less than reasonable care.
  • Not disclose any Confidential Information to any third party without the prior written consent of GDP-50-NOW.
  • Use Confidential Information solely for the Internal Business Purposes authorized under this Agreement.
  • Promptly notify GDP-50-NOW upon discovery of any unauthorized disclosure or use of Confidential Information.

These obligations shall survive for a period of three (3) years following the termination or expiration of this Agreement.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions.

Any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be resolved as follows:

  • Negotiation: The parties shall first attempt in good faith to resolve any dispute by informal negotiation upon written notice by either party.
  • Mediation: If the dispute is not resolved within thirty (30) days of the initial written notice, either party may request non-binding mediation administered by a mutually agreed-upon mediator.
  • Litigation: If mediation is unsuccessful, either party may pursue its rights in any court of competent jurisdiction. Each party irrevocably consents to the exclusive jurisdiction and venue of the state and federal courts located in the Commonwealth of Pennsylvania.

EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATED TO THIS AGREEMENT.

15. Privacy and Data Use

GDP-50-NOW may collect certain information in connection with Subscriber’s use of the Service, including account registration data, usage data, and access logs. Such information is collected and used solely to administer the Service, enforce the terms of this Agreement, and improve the GDP-50-NOW Service.

GDP-50-NOW will not sell, rent, or share Subscriber’s personally identifiable information with third parties except as required by law, as necessary to provide the Service, or with Subscriber’s prior written consent.

16. Modifications to the Agreement

GDP-50-NOW reserves the right to modify or update these Terms and Conditions at any time. Subscribers will be notified of material changes via email or through a prominent notice within the Service at least fifteen (15) days prior to the effective date of such changes.

Subscriber’s continued access to or use of the Service following the effective date of any modification constitutes Subscriber’s acceptance of the revised Agreement. If Subscriber does not agree to any modification, Subscriber’s sole remedy is to discontinue use of the Service and provide written notice of termination in accordance with Section 11.

17. General Provisions

Entire Agreement. This Agreement, together with any applicable order form, invoice, or subscription confirmation, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral and written agreements, representations, and understandings.

Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

No Waiver. The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the waiving party.

Assignment. Subscriber may not assign, delegate, or transfer this Agreement or any rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of GDP-50-NOW. GDP-50-NOW may freely assign this Agreement.

Force Majeure. GDP-50-NOW shall not be liable for any failure or delay in performance of its obligations under this Agreement to the extent such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, natural disasters, government actions, cyberattacks, or failures of third-party infrastructure.

Notices. All legal notices under this Agreement shall be in writing and delivered by email with confirmation of receipt or by certified mail, return receipt requested, to the addresses set forth in the applicable subscription documentation.

Relationship of the Parties. This Agreement does not create a partnership, joint venture, agency, employment, or franchise relationship between the parties.

ONLINE ACCEPTANCE – AGREEMENT BY USE

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE COMPLETING YOUR SUBSCRIPTION.

By clicking “I Agree,” “Subscribe,” “Complete Purchase,” “Create Account,” or any similar button or checkbox presented during the subscription or account registration process, or by accessing, downloading, or using any Content or feature of the GDP-50-NOW Service, Subscriber expressly acknowledges that:

  • Subscriber has read and understood these Terms and Conditions in their entirety.
  • Subscriber agrees to be legally bound by these Terms and Conditions as of the date of such action (the “Acceptance Date”).
  • If Subscriber is accepting on behalf of a company or other legal entity, Subscriber represents and warrants that it has full legal authority to bind that entity to these Terms and Conditions.
  • Subscriber’s continued access to or use of the GDP-50-NOW Service following any update or modification to these Terms and Conditions constitutes Subscriber’s ongoing acceptance of the then-current version of this Agreement.

This electronic acceptance constitutes a valid and binding agreement under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA), and shall have the same legal force and effect as a manually executed written agreement.

GDP-50-NOW records and retains the date, time, and manner of each Subscriber’s acceptance of these Terms and Conditions. Such records shall be admissible as evidence of Subscriber’s agreement in any legal or administrative proceeding.
